1. What Commons Is

Commons is a marketplace where independent restaurants, cafes, and similar food businesses run their own loyalty programs, and customers can discover, join, and track rewards across multiple businesses in one place. Commons operates the platform; each business sets and is responsible for its own rewards, tiers, and perks.

2. Eligibility

You must be at least 16 years old to create an account. By using Commons, you confirm you meet this requirement.

3. Accounts

Customers sign in with a phone number and a one-time verification code — no password is used. Business owners sign in by email (a sign-in link) or, once set up, an optional phone code. You're responsible for keeping access to your phone number or email secure, since that's what controls your account. One account per person; don't create accounts on behalf of others without their permission.

4. For Customers

• Joining a business's program is free. Rewards, tier thresholds, and perks are set by each individual business, not by Commons — Commons doesn't guarantee the value or availability of any specific reward.
• You can leave a business's program at any time; your visit history is retained so that rejoining doesn't reset your progress.
• Redeeming a perk requires being an active member of that business's program.
• Don't attempt to manipulate check-ins, redemptions, or tier progress through fraudulent means (e.g. fake visits, shared/scripted QR scans). Commons and participating businesses may suspend accounts found doing this.

5. For Businesses

• You're responsible for honoring the rewards, tiers, and perks you configure and advertise to your customers.
• Commons charges a subscription fee for platform access and a redemption fee on perks redeemed through the platform, per the pricing you agreed to at signup. Fee terms may be updated with advance notice.
• You're responsible for the accuracy of your business information (hours, location, category, photos) and for training staff who use check-in tools or PIN access on your behalf.
• Staff PINs you create grant access to your dashboard on a paired device — you're responsible for managing who holds them.

6. Prohibited Conduct

You agree not to: use the platform for any unlawful purpose; interfere with or disrupt the platform's operation; attempt to access another user's or business's account or data without authorization; scrape or harvest data from the platform; impersonate another person or business.

7. Intellectual Property

Commons and its logo, design, and underlying software are owned by Commons. Businesses retain ownership of their own content (photos, descriptions, reward copy) uploaded to their profile, and grant Commons a license to display it on the platform.

8. Disclaimers

Commons is provided "as is." Perks, rewards, and offers are created and fulfilled by individual businesses, not Commons — we don't guarantee their availability, quality, or accuracy. We don't guarantee the platform will be uninterrupted or error-free.

9. Limitation of Liability

To the maximum extent permitted by law, Commons is not liable for indirect, incidental, or consequential damages arising from your use of the platform, or from any business's fulfillment (or non-fulfillment) of a reward or perk.

10. Termination

You may stop using Commons at any time. We may suspend or terminate accounts that violate these Terms, engage in fraud, or pose a risk to other users or businesses.

11. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws principles.

12. Changes to These Terms

We may update these Terms as Commons evolves. We'll update the date above, and for material changes, make a reasonable effort to notify you.
